Terms of Service

Please read these Terms of Service carefully. By accessing or using Chalk Talk HQ, you agree to be bound by these terms. If you do not agree, do not use the service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Chalk Talk HQ ("we," "us," or "our") governing your access to and use of the Chalk Talk HQ platform, including all associated websites, applications, features, and services (collectively, the "Service").

Chalk Talk HQ is a brand operated by Schnelli LLC, the entity that owns and is legally responsible for the Service and these Terms.

By creating an account, accessing the Service, or clicking any "Agree," "Sign Up," or similar button, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization (such as a school, athletic program, or sports club), you represent that you have the authority to bind that organization to these Terms.

We reserve the right to update these Terms at any time. Changes will be posted to this page with an updated effective date. Your continued use of the Service after any such changes constitutes acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes via email or an in-app notice.

2. Description of the Service

Chalk Talk HQ is a web-based sports coaching platform that enables football coaches and athletic staff to:

  • Design and diagram football plays using an interactive canvas tool
  • Organize plays into playbooks for team reference
  • Manage rosters, positions, and athlete information
  • Create, distribute, and review quizzes to test athletes on plays and formations
  • Build a Drill Library, optionally with linked instructional video, and assemble drills into practice plans
  • Upload or link game and practice film to a Film Library, including coach-recorded voice-over narration
  • Track live snap counts and participation during games with Game Time, and generate game scripts
  • Use AI-powered tools to automatically generate quiz questions, build practice plans, transcribe play calls, and digitize whiteboard diagrams from playbook content
  • Share study materials with athletes via a dedicated Athlete Study Mode portal
  • Customize team branding, colors, and settings

Attaching video to a play, drill, or film clip — whether uploaded directly or linked from a third-party platform — requires a paid Coach or Program plan; see Section 12 ("Fees and Payments").

The Service is intended for use by sports coaching professionals, athletic organizations, and the athletes they supervise. We do not guarantee that the Service is appropriate or compliant for use in all jurisdictions or sporting contexts.

3. Eligibility and Account Registration

Age Requirement. To create a coach or staff account, you must be at least 18 years of age. Individuals under 18 may only use the Service as athletes through the Athlete Study Mode portal, with the explicit authorization of an adult coach or administrator who has agreed to these Terms on their behalf.

Account Types. The Service offers the following account types:

  • Head Coach: Creates an organization account, manages all content, staff, and athletes.
  • Assistant Coach / Staff: Joins an existing organization using a Staff Access Code provided by the head coach. Has access to organization content as configured by the head coach.
  • Athlete: Joins a team using an Athlete Access Code provided by a coach. Access is limited to Athlete Study Mode, which includes viewing published playbooks and completing assigned quizzes. Athletes do not require an email address to join.

Account Accuracy. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at legal@chalktalkhq.com if you suspect unauthorized access to your account.

One Account per User. Each individual may maintain only one active account. Creating multiple accounts to circumvent restrictions, bans, or limitations is prohibited.

Account Sharing. You may not share your account credentials with any other person. Staff and athlete accounts must be created individually using the appropriate Staff Access Code or Athlete Access Code.

4. Minors and COPPA Compliance

The Service may be used by minors (individuals under 18) in their capacity as athletes on a team. We acknowledge that youth athletes may include children under the age of 13, who are subject to the Children's Online Privacy Protection Act ("COPPA") and similar laws in other jurisdictions.

Parental/Guardian Consent. Coaches and organizations using Chalk Talk HQ with athletes under the age of 13 are responsible for obtaining verifiable parental or guardian consent before entering or permitting those athletes to access the Service. By adding a minor athlete to the platform, you represent that you have obtained all necessary consents.

Limited Data Collection for Athletes. Athlete accounts are designed to collect minimal personal information — only the athlete's name and any quiz attempt data. Athletes do not provide email addresses or passwords unless they are of appropriate age and create a full account.

Parental Rights. Parents or legal guardians may request review, deletion, or correction of their minor child's information by contacting us at legal@chalktalkhq.com. We will respond to such requests within a reasonable time.

We do not knowingly collect personal information from children under 13 without appropriate parental consent. If we learn that we have collected personal data from a child under 13 without proper consent, we will delete that data promptly.

5. Coach and Organization Responsibilities

Head coaches and organization administrators accept heightened responsibility under these Terms, including:

  • Ensuring all individuals added to the platform (athletes, staff) have appropriate consent to participate and have their data processed
  • Keeping Staff Access Codes and Athlete Access Codes secure and distributing them only to authorized individuals
  • Promptly revoking access for individuals who leave the organization
  • Ensuring all content created or uploaded complies with these Terms, applicable laws, and any applicable school, district, or organizational policies
  • Not using the platform to share content that is inappropriate, offensive, discriminatory, or harmful to minors
  • Complying with all applicable privacy laws regarding the collection and handling of athlete information, including FERPA, COPPA, and applicable state laws

6. User Content

Your Content. The Service allows you to create, upload, and store content including play diagrams, playbook descriptions, quiz questions, notes, and team information ("User Content"). You retain all ownership rights to your User Content.

License Grant. By uploading or creating User Content through the Service, you grant Chalk Talk HQ a limited, non-exclusive, worldwide, royalty-free license to store, process, display, and transmit your User Content solely as necessary to provide, operate, and improve the Service. We do not sell your User Content or use it for advertising purposes.

Content Standards. You are solely responsible for your User Content and represent that it does not:

  • Infringe any third-party intellectual property rights, including trademarks, copyrights, or trade secrets of professional sports leagues, teams, or organizations
  • Contain or depict unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable material
  • Violate any applicable local, state, national, or international law
  • Contain malware, viruses, or other harmful code
  • Constitute unauthorized use of any third party's likeness, name, or personal information

Content Removal. We reserve the right, but are not obligated, to remove or disable any User Content that we determine, in our sole discretion, violates these Terms or may expose us or others to harm or liability.

Linked and Uploaded Video Content. The Service allows coaches to attach video to plays, drills, and film clips, either by uploading a file directly or by pasting a link to a third-party platform. This content is often viewed by athletes, including minors, in Athlete Study Mode and the Film Library.

  • You are solely responsible for ensuring any video you upload or link is football- or team-activity-related and appropriate for a youth audience.
  • For pasted links, the Service technically restricts accepted video links to YouTube, Vimeo, and Hudl. This restriction reduces — but does not eliminate — the risk of inappropriate content, since we do not pre-screen, review, or monitor the actual content hosted at any linked or uploaded URL, including content hosted on our own storage infrastructure.
  • We are not responsible for the content, availability, or appropriateness of any video hosted by a third-party platform you link to, or for any video you upload.
  • We may remove any video, disable the associated content, and suspend or terminate the account of any user who uploads or links inappropriate, non-football-related, or otherwise harmful video content, particularly where minors may be exposed to it.
  • If you become aware of video content on the Service that is inappropriate, unsafe, or does not belong, report it immediately to legal@chalktalkhq.com so we can review and remove it.

7. AI-Powered Features

The Service includes several features powered by artificial intelligence ("AI Features"), including: automated quiz question generation from playbook content; AI-assisted practice plan generation; voice-to-play transcription, which converts spoken play calls into digital play data; and whiteboard/photo import, which digitizes a photographed or hand-drawn play diagram. These AI Features are provided through a third-party AI service provider (currently OpenAI, L.L.C.).

Data Shared with AI Services. When you use an AI Feature, relevant User Content — which may include play names, descriptions, formations, audio recordings of play calls, or images of whiteboard diagrams, depending on the feature — may be transmitted to our AI service providers to generate the requested output. By using AI Features, you consent to this data sharing. Please review our Privacy Policy for details on how AI service providers may process this data.

AI Output Accuracy. AI-generated content, including quiz questions and answers, may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, editing, and approving all AI-generated content before distributing it to athletes. Chalk Talk HQ makes no warranty regarding the accuracy or fitness of AI-generated content.

No Professional Advice. AI-generated content does not constitute professional coaching advice, tactical recommendations, or endorsements of any coaching methodology.

8. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or contractual obligation
  • Harass, bully, intimidate, or abuse athletes, coaches, or other users
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Collect or harvest personal information from other users without their consent
  • Attempt to gain unauthorized access to any part of the Service, server, or network
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Use automated scripts, bots, scrapers, or crawlers to access the Service without our prior written permission
  • Introduce any virus, Trojan horse, worm, logic bomb, or other harmful material
  • Use the Service in any manner that could disable, overburden, damage, or impair it
  • Resell, sublicense, or commercially exploit the Service or any of its content without express written authorization
  • Use the Service to coach competing commercial products or services without our consent

9. Intellectual Property Rights

Our IP. The Service, including its design, software, graphics, user interface, and all content created or provided by Chalk Talk HQ (excluding User Content), is owned by or licensed to Chalk Talk HQ and is protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or brand elements without prior written permission.

Your IP. You retain all rights to your original User Content. We do not claim ownership of any plays, playbooks, diagrams, or other content you create on the platform.

DMCA. If you believe that any content on the Service infringes your copyright, please send a notice to legal@chalktalkhq.com with the following information: (1) your contact information; (2) identification of the copyrighted work; (3) identification of the allegedly infringing material; (4) a statement that you have a good faith belief the use is not authorized; and (5) a statement under penalty of perjury that the information is accurate.

Third-Party Trademarks. References to NFL, NCAA, or other league or team names are for descriptive purposes only. Chalk Talk HQ is not affiliated with, endorsed by, or sponsored by the NFL, NCAA, or any professional or collegiate sports league or organization.

10. Privacy and Data

Your privacy is important to us. Our collection, use, and handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.

11. Third-Party Services and Links

The Service relies on the following third-party service providers. Your use of the Service constitutes acknowledgment that these providers may process certain data as described:

  • OpenAI: Powers AI quiz generation, AI-assisted practice plan generation, voice-to-play transcription, and whiteboard/photo import. Relevant play content, audio, or images may be sent to OpenAI to generate the requested output.
  • Vercel Blob: Stores video clips and voice-over audio recordings you upload directly for drills, plays, and film clips.
  • Stripe: Processes payment for paid Plans. Stripe collects your payment details directly; we do not receive or store your full card number.
  • Resend: Delivers transactional emails such as password resets and account notifications. Email addresses are shared as necessary for delivery.
  • Hosting Provider(s): Infrastructure hosting (e.g., Netlify, Vercel, or similar). Data is stored on servers operated by our hosting provider(s).

We are not responsible for the privacy practices or terms of these third-party providers. We encourage you to review their respective privacy policies. We will make reasonable efforts to select providers with appropriate data protection standards.

12. Fees and Payments

The Service is offered under multiple subscription tiers ("Plans"): a Free plan with limited plays, playbooks, and quizzes; a Coach plan; and a Program plan. Current Plan features and pricing are listed at the time of purchase on our upgrade page. Plan features change from time to time; we will make reasonable efforts to notify you of material changes to what a Plan includes.

Certain features — including attaching video to plays, drills, or film clips (whether uploaded directly or linked from a third-party platform), AI-assisted practice plan generation, additional coaching staff seats, multi-team management, and shareable playbook links — require a paid Coach or Program plan and are not available on the Free plan.

Billing. Paid Plans are billed in advance on a monthly or annual basis, as selected at checkout, and automatically renew for successive periods of the same length unless cancelled before the renewal date. Payments are processed by our third-party payment processor, Stripe; we do not store your full payment card details. All fees are in U.S. Dollars unless otherwise stated.

Cancellation and Refunds. You may cancel a paid Plan at any time through the billing portal available in your account settings. Cancellation stops future renewals; access to paid features continues through the end of the current billing period. Fees already paid are non-refundable except as required by law or as we may otherwise agree in a specific case. We reserve the right to change Plan pricing with reasonable advance notice; changes apply prospectively, not to periods already paid for.

If you are using the Free plan, we reserve the right to modify, limit, or discontinue free access at any time with reasonable notice.

13. Termination

Termination by You. You may cancel your account at any time by contacting us at legal@chalktalkhq.com or through account settings if available. Cancellation takes effect at the end of the current billing period for paid accounts.

Termination by Us. We reserve the right to suspend or terminate your account and access to the Service, with or without notice, if we reasonably believe you have violated these Terms, if your account has been inactive for an extended period, if required by law, or for any other reason at our discretion. Upon termination, your right to use the Service immediately ceases.

Effect of Termination. Upon termination, we may delete your account and User Content. We are not liable to you or any third party for any termination of your access. Provisions of these Terms that by their nature should survive termination (including ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive.

Data Retrieval. If you wish to export your data before account termination, please contact us at legal@chalktalkhq.com. We will make reasonable efforts to provide a data export within 30 days.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

WE ARE NOT RESPONSIBLE FOR ANY COACHING DECISIONS MADE BASED ON PLAYS, PLAYBOOKS, OR QUIZ CONTENT CREATED OR GENERATED THROUGH THE SERVICE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CHALK TALK HQ, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

16. Indemnification

You agree to indemnify, defend, and hold harmless Chalk Talk HQ, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service
  • Your User Content
  • Your violation of any law or the rights of any third party
  • Any claim that your User Content caused damage to a third party
  • Your failure to obtain appropriate consents for minor athletes

17. Dispute Resolution and Arbitration

Informal Resolution. Before initiating any formal dispute, you agree to first contact us at legal@chalktalkhq.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration under the rules of the American Arbitration Association ("AAA"). The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver. YOU AND CHALK TALK HQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or unauthorized access to the Service.

18. Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. To the extent arbitration does not apply, you submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

19. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any other policies incorporated herein, constitute the entire agreement between you and Chalk Talk HQ with respect to the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may freely assign our rights and obligations.

Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, war, terrorism, pandemics, internet outages, or government actions.

Notices. We may provide notices via email, in-app notification, or by posting to the Service. You may contact us at legal@chalktalkhq.com.
